Please read these terms carefully before purchasing an NFT on Fiatly.
1. Agreement to Terms
By accessing or using Fiatly (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Service.
These Terms constitute a legally binding agreement between you and the operator of this Service. Please read them carefully.
2. Description of Service
Fiatly is a non-custodial NFT marketplace that lets you discover, browse, and purchase non-fungible tokens (NFTs) using supported payment methods including credit and debit cards, Apple Pay, and Google Pay.
Payments are processed by our regulated payment partner, Wert, via its NFT Checkout product. Upon successful payment, the purchased NFT is delivered directly to the self-custody wallet address you provide at checkout.
We are non-custodial — we do not hold your funds, private keys, or NFTs at any point. We act solely as an interface connecting buyers with on-chain NFT assets.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract in your jurisdiction. By using the Service you represent and warrant that you meet these requirements.
You further represent that your use of the Service does not violate any law, regulation, or sanction applicable to you or your country of residence.
4. Account & Information
The Service does not require account registration for browsing. At checkout you are required to provide accurate wallet address, contact, and payment details.
You agree to provide accurate, current, and complete information as prompted, and to update it as necessary. Providing false or misleading information may result in transaction cancellation or access restriction.
5. Prohibited Activities
You may not use the Service for any unlawful purpose, including but not limited to: money laundering, fraud, sanctions evasion, tax evasion, or financing of prohibited activities.
You may not attempt to circumvent identity verification, security, or access-control measures; use automated scripts, bots, or crawlers in a manner that disrupts the Service; or resell access to the Service without authorization.
You may not list, purchase, or transact in NFTs that infringe third-party intellectual property rights, depict illegal content, or are otherwise prohibited under applicable law.
6. Payments and Fees
All prices are displayed in the currency shown at checkout. A service fee, disclosed as a percentage markup before you confirm your purchase, is included in the final price you pay.
Payment processing is handled by Wert, a regulated payment services provider. By completing a purchase you agree to Wert's terms and payment policies in addition to these Terms.
Exchange rates for crypto-denominated payments are indicative until the moment of payment confirmation, at which point the rate is locked for settlement purposes.
7. NFT Delivery & Wallet Address
Upon successful payment, the NFT is delivered to the wallet address you provided at checkout via a blockchain transaction. Delivery typically completes within minutes, subject to network congestion.
You are solely responsible for providing a correct and compatible wallet address on the correct blockchain network. NFTs sent to an incorrect, incompatible, or uncontrolled address cannot be recovered, and we accept no liability for such losses.
We recommend verifying your wallet address carefully before confirming a purchase. Once submitted to the blockchain, a transaction cannot be reversed.
8. Intellectual Property & NFT Ownership
Purchasing an NFT grants you ownership of the unique on-chain token as recorded on the blockchain. Unless the NFT creator explicitly grants broader rights in the NFT's terms, purchase does not transfer copyright, trademark, or commercial exploitation rights in the underlying artwork or media.
All content, branding, software, and trademarks of the Fiatly platform (excluding the NFTs themselves) are owned by or licensed to us and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written permission.
9. AML/KYC Compliance
Our payment partner, Wert, operates anti-money-laundering (AML) and know-your-customer (KYC) programs as required by applicable financial regulations. Identity and payment verification is conducted by Wert as part of the checkout process.
We may delay, restrict, or refuse transactions where required to comply with applicable law, sanctions, or our partners' compliance obligations. We cooperate with law-enforcement requests as required by law.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Fiatly and its affiliates, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, NFTs, or data, arising from your use of or inability to use the Service.
Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees you paid to us in the twelve months preceding the claim.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that NFT metadata, images, or descriptions provided by creators are accurate, complete, or free from errors. We do not guarantee uninterrupted or error-free operation of the Service or underlying blockchain networks.
12. Indemnification
You agree to indemnify, defend, and hold harmless Fiatly, its affiliates, licensors, and partners from any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, where we reasonably believe you have violated these Terms, applicable law, or pose a compliance risk.
Termination does not affect any rights or obligations that have accrued prior to termination, including obligations related to completed transactions.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the jurisdiction in which the Service operator is established, without regard to conflict-of-law principles. The UN Convention on Contracts for the International Sale of Goods does not apply.
16. Dispute Resolution
Any dispute arising out of or in connection with these Terms or the Service shall first be addressed by contacting our support team. If not resolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of a recognized arbitration body, except where prohibited by applicable law.
Nothing in this clause prevents either party from seeking injunctive or other equitable relief before a court of competent jurisdiction to prevent irreparable harm.
